These Terms govern your access to and use of the AXXEM AI website and the assessments, reports, content, and information offered here ("Services"), provided by AXXEM AI Solutions LLC ("AXXEM AI," "we," "us"), an Ohio limited liability company. By using the site, you agree to these Terms. Our Privacy Policy explains how we handle your data and is part of these Terms.

Who may use the Services

The Services are intended for businesses and the people who run them, and for users who are at least 18 years old. They are offered in the United States. By using the site you confirm you meet these conditions and that you are acting for a business purpose.

Use of the site

You may use the site for lawful purposes only. You agree not to misuse it, attempt to disrupt or gain unauthorized access to it, or use it in any way that breaches applicable law or these Terms. You may not use automated means to scrape, copy, or re-host the site or its content.

Assessments and information

Our assessments, Snapshots, articles, and other materials are provided free of charge and for general information. They are a starting point, not professional, legal, financial, or tax advice, and results depend on the inputs you provide. Custom engagements beyond the self-serve Services are governed by a separate written agreement, which takes precedence over these Terms for that work.

We do not currently sell any product through this website. If we begin to, we will publish the applicable purchase, tax, and refund terms here before doing so.

Availability of the Services

We may change, suspend, or discontinue any part of the Services at any time, including any assessment. We do not guarantee the site will be uninterrupted or error-free.

AI-assisted outputs

Some Services use AI to generate or assist with content and results. In our reports, your scores are calculated directly from your answers, not by AI; the written analysis is generated by AI working within AXXEM AI's expert-built, research-backed framework. AI outputs can contain errors and should be reviewed before you rely on them. You are responsible for decisions you make based on them. We minimize the data shared with AI tools (see the Privacy Policy), but we do not warrant that any AI-assisted output is complete or error-free.

No guarantee of outcomes

We aim to give evidence-led, research-grounded guidance, but we do not guarantee any specific business result, return on AI, or outcome. Decisions you make based on the Services are your own responsibility.

Intellectual property

The site, its content, branding, reports, our assessment questions and scoring methodology, and the AXXEM AI name and logo are owned by AXXEM AI Solutions LLC or its licensors and are protected by law. Your report is provided for your own personal and internal business use; you may not copy, redistribute, resell, or create derivative works from our content without permission, except as allowed by these Terms or law. Materials we deliver to a client under a separate engagement (including any AI-generated content) are governed by that agreement.

Third-party links and tools

The site may link to third-party sites or tools (including our scheduling provider). We are not responsible for their content, policies, or practices; your use of them is at your own risk.

Disclaimer of warranties

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent permitted by law. Nothing in these Terms excludes a warranty that cannot be excluded under applicable law.

Limitation of liability

To the fullest extent permitted by law, AXXEM AI is not liable for any indirect, incidental, or consequential damages arising from your use of the site or the Services, and our total liability for any claim relating to the Services is limited to the amount you paid us for them, if any. Nothing in these Terms limits liability that cannot be limited under applicable law.

Changes

We may update these Terms; the "last updated" date above reflects the latest version. Continued use of the site after changes means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of- laws rules, and any disputes will be handled in the state or federal courts located in Lucas County, Ohio, unless applicable law provides otherwise.

General

If any provision of these Terms is held unenforceable, the rest stay in force and that provision is applied as nearly as possible to its intended effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Services, and replace any earlier understanding on the same subject. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets; you may not assign them without our written consent. If we do not enforce a provision on one occasion, we do not give up the right to enforce it later.
